UNIFEMGA Constitution
![]() Constitution of UNIIFE Muslim Graduates' Association (UNIFEMGA)NATIONAL SECRETARIATPREAMBLEWe the members of UNIIFE Muslim Graduates’ Association (hereinafter called “UNIFEMGA”) desirous of promoting the cause of Islam in Nigeria and elsewhere, having firmly resolved to live in unity and harmony; determined to promote collective and individual interests and welfares of members; dedicated to the promotion of peace, progress and good neigbourliness; do hereby enact and give to ourselves the following Constitution.ARTICLE 1 - GENERAL1. Name: The Association shall be known and called UNIIFE MUSLIM GRADUATES’ ASSOCIATION (hereinafter called UNIFEMGA.)2. Motto: the Motto of UNIFEMGA shall be “There is no deity worthy of worship except Allah and Prophet Mohammed (P.B.U.H) is His messenger” Secretariat: The National Secretariat of UNIFEMGA shall be situate in or as determined by the conference at any point in time. The provisions of the Holy Quran and the Sunnah are supreme over any provisions of this constitution and where there is any inconsistency between the provisions of this constitution and that of the Quran and Sunnah, the provision of this Constitution shall give way. ARTICLE 2 – AIMS AND OBJECTIVES5. The aims and objectives of UNIFEMGA shall be:i. To bring all muslim Graduates of Obafemi Awolowo University (formerly University of Ife), Ile-Ife into closer union and to strengthen in them the true Islamic spirit of brotherhood and absolute faith in Allah as the only basis for the achievement of understanding and peace among mankind. ii. To promote and propagate the cause of Islam. iii. To encourage and promote beneficial relationships amongst members in particular and muslims in general. iv. To teach and enlighten members, muslims and the general public on the tenets of Islam through the promotion of scholarship and academic research by and for muslims. v. To solicit, obtain and render meaningful support to all activities in the course of Islam and muslims especially in Nigeria. vi. To assist needy members, muslims and other persons in meeting their genuine and legitimate needs. vii. To co-operate with and support the Islamic activities of the Muslim Community of Obafemi Awolowo University, Ile-Ife and the Muslim Students Society of Nigeria particularly its Obafemi Awolowo University, Ile-Ife branch. viii. To co-operate with other Islamic Organisations and other bodies whose aims, objectives and activities are consistent with Islamic principles. ix. To promote the general welfare of humanity especially muslims, and safeguard their interests and rights at all times and in all places. x. To otherwise support all activities for the advancement of Islam and muslims in Nigeria and World-wide. ARTICLE 3 – MEMBERSHIPMembership of UNIFEMGA shall be open to all Muslim graduates of Obafemi Awolowo University Ile-Ife and who have agreed to be bound by the provisions of this Constitution.7. All members are expected to abide by the provisions of this Constitution as well as any bye laws enacted by the various chapters of UNIFEMGA. ARTICLE 4 – ORGANISATIONAL STRUCTURE8. UNIFEMGA shall be operated at three different levels ofThe Conference The National Executive Council and The Chapters 9 THE CONFERENCEThis is the supreme authority of the UNIFEMGA and its decisions shall be binding on all members, officers and Chapters until same is reversed by itself.The Conference shall be composed by members of the National Executive Council, members from all the recognized and registered Chapters and such other members as agreed to by the National Executive Council in any year. PROVIDED that only 10 delegates shall represent each Chapter for the election of National Officers. The Conference shall be duly convened if a notice to that effect is issued to all Chapters at least twenty-one (21) days by the Secretary-General at the instance of the National President, National Executive Council or the Conference at a previous meeting. The Conference shall be presided over by the President or in his absence Vice President or in his absence any other member of the National Executive Council that may be nominated by the majority of members in attendance at the Conference PROVIDED a quorum has been formed The Quorum for the Conference shall be representatives from the majority of registered Chapters at any point in time. The Conference shall undertake the following business. a. Elect members of the National Executive Council. b. Consider and approve the annual budget as presented by the National Executive Council. c. Consider and approve the audited account of UNIFEMGA. d. Consider and approve the Secretary-General’s Report. e. Take on any other responsibility as may be brought before it by the National Executive Council or any other organ. 10 NATIONAL EXECUTIVE COUNCILa. The National Executive Council (hereinafter called “the Council” shall consist of thefollowing officers: President Vice President Vice President (Female) Secretary-General Assistant Secretary General Treasurer Publicity secretary Financial secretary Two Ex-officio members who shall be the immediate past National President and immediate past National Secretary-General. b. The Council shall be responsible for general administration and policy direction of UNIFEMGA c. The Council shall meet, at least four (4) times in a year d. The Council shall be accountable to the Conference by submitting annual budget proposals, annual audited account and such reports for scrutiny by the Conference; e. The Quorum for the Council is 2/3 of members and f. The Council may delegate any of its functions to any officer or Committee set up by it. 11. CENTRAL WORKING COMMITTEEThe Central Working Committee hereinafter called “the Committee “shall be composed by all the members of the National Executive Council, Chairmen and secretaries of all Chapters and Chairmen of all Standing Committee of the National Secretariat.a. The Committee shall be responsible for taking major decisions referred to it by the National Executive Council. b. The Committee shall meet at least two (2) times in a year. c. The Committee shall serve as a link between the Conference and the Council. d. The Committee shall serve as advisory body to the Council. 12. THE CHAPTERUNIFEMGA shall be operated at the Chapter level consisting of all members resident in their area of operation.The Chapter shall hold an annual Congress consisting of all members of UNIFEMGA within its area. The Chapter shall be organized by the Executive Committee consisting of the following: (a) Chairman (b) Vice Chairman (c) Vice Chairman (Female) (d) Secretary (e) Assistant Secretary (f) Treasurer (g) Publicity Secretary (h) Financial Secretary(i) Two Ex-Officio members who shall be the immediate past Chairman and Secretary. The Chapter shall abide by all decisions taken by the Council, Committee and Conference of UNIFEMGA The Chapter may enact bye-laws to regulate its affairs. The Chapter shall remit the 30 percent of her levies due to the National body regularly. ARTICLE 5 – FUNCTIONS OF NATIONAL OFFICERS13. PRESIDENTThe president shall be the Chief Executive Officer of UNIFEMGA, be responsible and accountable for the overall progress of UNIFEMGA and the promotion of the welfare of its members.He shall preside over all meetings of UNIFEMGA unless when he is absent or when such meeting is convened to try, investigate, impeach or otherwise consider matters or dispute in which he is directly involved and which may lead to his removal from office. He shall be the Chief Planning Officer of UNIFEMGA and shall ensure that its affairs are conducted in accordance with the provisions of this Constitution and in a manner consistent with the overall aims and objectives of UNIFEMGA as well as with the aspirations of members. He shall seek, obtain and display a thorough understanding of the UNIFEMGA affairs, activities, programmes and plan of UNIFEMGA and shall always project such at all relevant fora including but not limited to the Conference. He shall always conduct himself in a responsible manner at all times, in all circumstances privately and in public, in a manner that is consistent with his exalted position and shall at no time subordinate his position to that of any officer, or any organization to which he may personally belong, unless it is reasonable to do so by virtue of, or in accordance with any Memorandum of Understanding or arrangement UNIFEMGA may have reached with such organization. He shall co-ordinate the activities of the officers and organs of the association. He shall be the leading official representative of the interest of UNIFEMGA in both internal and external affairs on major issues as well as in projecting the views and image of the association in its widest and highest conception, articulation, and dissemination in accordance with the provisions of this Constitution. He shall maintain order and discipline during all proceedings or meetings He shall have power to summon through the Secretary-General all meetings, whether regular or in emergency and he shall preside at all such meetings. He shall discharge all such duties and exercise all such other powers as are reasonably incidental to his position and enforce strict adherence to regulations of the association by members. He shall have a second or casting vote in the event of a tie. He shall be the Chief Accounting Officer of UNIFEMGA and shall therefore have powers over its finances in compliance with the approved budget and financial guidelines. He shall have power to delegate any of his functions to other officers or members including power to appoint any officer or member to represent him or UNIFEMGA at any function or in any other capacity PROVIDED no such appointment shall be made to unduly contradict the normal duties of other officers as may be specified in this Constitution. He shall in the discharge of his duties, be guided by the principles of justice, equity, objectivity, rationality, unity of purpose, and true Islamic brotherhood by the pursuit of the objectives, and by the need to promote the welfare of members and the Muslim Community at large, to the best of his ability. He shall be a signatory to the account of the association. 14. THE VICE PRESIDENTThe Vice President shall in the absence of the President perform the duties of the President or any duties that the National President or the Council may assign to him from time to time.He shall be responsible for all matters relating to the membership of UNIFEMGA including the verification of membership claims, maintenance of up-to-date records of membership, the organization and conduct of appropriate orientation for new members and generally giving effect to all decisions relating to membership of the association. He shall with the approval of the Council be responsible for the design and conduct of specific programmes and activities for promoting the welfare of members. He shall be the Chairman of the Empowerment Committee. He shall perform such other duties that may be assigned to him by the Council, Conference or the President. 15. VICE PRESIDENT (FEMALE)a. He shall be responsible for the activities of the Female members of UNIFEMGA.b. He shall perform such other duties that may be assigned to him by the President, Council or Committee. 16. SECRETARY-GENERALThe Secretary-General shall head the Secretariat of UNIFEMGA, keep all the records and property of the association and discharge all duties attached to his office or otherwise assigned by the President or the Council from time to time.He shall in accordance with provisions of this Constitution, convene the meetings of the Council, Committee or Conference, whether ordinary or emergency, keep accurate minutes thereof and monitor the implementation of all decisions reached at such meetings. He shall deal with all correspondences and general administration of the Secretariat. He shall guide the Council on the recruitment, remuneration and determination of the employment of any person in the paid employment of association and he shall assign duties to supervise, discipline and otherwise direct the activities of all such employees that may be engaged by the association. He shall promote harmony and good working relationship among all organs, officers and employees of the Association and shall prepare a comprehensive report of all the activities of the Association, on behalf of the Council for the information and approval of the Conference at its regular annual meeting. He shall together with the Assistant Secretary-General oversee the activities of all Committees of the Association and assist in meeting their secretariat and administrative needs. He shall perform such other duties that may be assigned to him by the Council, Committee, Conference and the President. He shall serve as the Secretary to the Board of Trustees. 17. ASSISTANT SECRETARY-GENERALThe Assistant Secretary-General shall in the absence of the Secretary-General perform the duties of the Secretary-General or any other duties the Secretary-General or the Council may assign to him from time to time.He shall on the instruction of the President or as may be scheduled by the Council convene meetings of the Council whether ordinary or emergency and keep accurate minutes thereof and in liaison with the Secretary-General monitor the implementation of all the decisions reached at such meetings. He shall assist the Vice President in attending to welfare of Chapters and in particular assist in effecting UNIFEMGA’s representation at important occasions, events or situations involving or organized for or by the Chapters. 18. PUBLICITY SECRETARYThe Publicity Secretary shall publicise the activities and project the image of UNIFEMGA from time to time.He shall act as the primary Public and Media Relations Officer of UNIFEMGA and, in that wise, shall be the linkman between the Association and other bodies external to it. He shall be responsible for ensuring that Chapters are duly notified of the activities and programmes of the Association through the issuance and effective circulation of appropriate notices. He shall co-operate with and assist other officers and organs of the Association in their bid to disseminate information to the generality of Chapters. He shall assist the Vice President in all matters relating to the promotion of close interpersonal relationship among Chapters. He shall liaise with other Islamic organizations and any other bodies that the Association might resolve to co-operate with. He shall perform other duties that are reasonably incidental to his office or that are assigned to him by the Council, the Committee or the Conference. 19. TREASURERThe treasurer shall receive (from the Financial Secretary) all monies and financial instruments due to and collected for the Association, cause an official receipt to be issued therefore, be responsible for the safekeeping of the Association’s financial resources and deposit all monies collected into a bank account within 72 hours of such collection.He shall promptly cause all monies received, in excess of any approved imprest, to be deposited in the Association’s bank account, within 72 hours. He shall keep and maintain an imprest account for meeting, petty cash expenses, the limit and operation of which shall be determined by the Council. He shall ensure strict compliance with the approved financial guidelines in the disbursement of the finances and, in any case, shall not release or expend any funds without the recommendation of the Financial Secretary and the approval of the authorized signatories as may be specified from time to time in the approved financial guidelines. He shall keep proper records (e.g. cash book, receipt book, e.t.c.) of all the transactions that pass through him. He shall be a signatory to the account of the Association. He shall perform such other functions that may be assigned to him by the President, Council, Committee or Conference. 20. FINANCIAL SECRETARYThe Financial Secretary shall be the Chief Financial Officer of UNIFEMGA and shall, therefore, keep proper records of all the financial resources, transactions and status of the Association and cause a detailed report/statement of account to be presented thereon to the Conference in each year. Specifically, he shall keep custody and be responsible for the safety and usage of the Association’s chequebook, payment vouchers and other financial documents.He shall be the Chairman of the Finance Committee, preside over its affairs and meetings and generally employ it to assist in the effective discharge of his duties. He shall be responsible for the prompt collection of all monies due to the association and remit them to the Treasurer promptly and/or periodically as may be specified in the approved financial guidelines. He shall be responsible for closely scrutinizing all requests for disbursement and ensure consistency with the approved budget and the financial guidelines, reasonableness of amount and purpose, necessity and other appropriate criteria to be specified by him, before recommending such for approval by the designated officer. He shall be the chief implementer of the approved financial guidelines and shall guide, advise and recommend necessary changes and amendments thereon to the Council in its periodic review. He shall receive, review and keep custody of bank statements in respect of the bank accounts, and shall ensure that any errors or irregularities are promptly investigated and resolved, and shall cause a report thereon to be made regularly to the Council for information and appropriate action. He shall be a signatory to the account of the Association. He shall in conjunction with the Financial Committee prepare a Financial Guideline for the approval of the Council He shall perform such other duties that are assigned to him by the President, Council, Committee or Conference. ARTICLE 6 - RESIGNATION/REMOVAL OF OFFICERS21 Any appointed or elected officer of UNIFEMGA may resign his seat, office or position in writing to the Council through the Secretary-General. In the case of the Secretary-General, he shall tender his resignation through the President.22. The officer resigning shall give a three (3) months notice before his resignation takes effect if accepted by the Committee AND he shall immediately submit a comprehensive report of his official activities as well as surrender all the property in his possession by virtue of his erstwhile position within 72 hours thereof. 23. Any elected or appointed officer of the Association may be removed from office for reasons of incompetence, gross misconduct or other acts of misdemeanor by a resolution to that effect supported by at least two-thirds majority of members present and voting at a duly convened meeting of the Conference on the recommendation of the Disciplinary Committee, the Shura Committee or the Council. ARTICLE 7 – PROGRAMMES24. UNIFEMGA shall embark on programmes as directed by the Council PROVIDED that the National Secretariat is the only organ that can organize a Re-Union Luncheon while workshops, lectures and symposia may be organized by both the National Secretariat and the Chapter. Regular monthly or quarterly dua sessions are exclusively the programme of the Chapters.ARTICLE 8 – FINANCE25. UNIFEMGA shall be financed from the following sourcesAnnual contributions by the Chapters which shall be 30% of any amount collected as membership dues in any particular year. Levies imposed on Chapters/members. Donations/Zakat and such other halal ventures. 26. An account shall be opened in reputable banks as determined by the Council with the President, Treasurer and Financial Secretary as signatories. 27. All monies collected by any officer of UNIFEMGA shall be deposited in the designated account within 72 hours of such collection. ARTICULE 9 – ELECTIONS28. Elections of officers into the Council as provided in this Constitution shall be conducted by the Shura Committee through the consensus approach but subject to the ratification of the Conference.29. Subject to any other provision of this Constitution, only members who have spent at ARTICLE 10 – SHURA COMMITTEE37. There shall be a Shura Committee of seven members, including a Chairman. ARTICLE 11 – DISCIPLINE42. There shall be a Disciplinary Committee of three members, including a Chairman; to be constituted by the Council on a need basis and as the circumstances demand on such terms as may be specified by it.43. The President shall have power to query any member or officer who in his opinion has contravened any of the provisions of this Constitution or has committed any act which is inimical to the objectives of the Association PROVIDED that, in the case of the President committing such act, any five members of the Council shall sign a query to him. 44. The member so queried shall within the time given in the query deliver his response in writing to the President who shall table such response before the Disciplinary Committee. 45. The Disciplinary Committee shall investigate the matter and report back to the Council who in turn shall take a decision subject to the ratification of the Conference. ARTICLE 12 – STANDING/AD-HOC COMMITTEES46. The Council may set up standing and/or ad-hoc Committees, including but not limited to the Finance Committee, the Publicity Committee, the Empowerment Committee, and the Mission Board to deal with any specific matters or otherwise assist it or any officer in the discharge of its/his duties AND may provide such funds and / or secretariat assistance as may be required to fulfill the duties of such Committees.47. The composition, function and tenure of such Committees shall be as specified by the Council PROVIDED that all such Committees shall stand dissolved at the expiration of the tenure of the current Council UNLESS their appointment is specifically renewed by the succeeding Council. ARTICLE 13 – AUDITORS48. There shall be appointed for UNIFEMGA an Auditor(s) for the purpose of scrutinizing the financial resources, records and statements of the Association and reporting suitably thereon to the Conference at its Annual Meetings.49. The Auditor(s) shall be appointed from among professionally qualified members by the Conference in such manner and on such terms and conditions as may be specified by it. 50. The Auditor(s) shall hold office for one year and shall be eligible for re-election at the end of his tenure. 51. The Auditor(s) shall have powers and unrestricted access to the Association’s records as are necessary and reasonable for him to perform his duties. ARTICLE 14 – TRUSTEES AND COMMON SEAL52. UNIFEMGA shall have a Board of Trustees of not more than seven appointed by members at the Conference and shall be known as THE INCORPORATED TRUSTEES OF OBAFEMI AWOLOWO UNIVERSITY MUSLIM GRADUATES’ ASSOCIATION (UNIFEMGA).53. The Trustees shall be presided over by a Chairman appointed amongst themselves. 54. The Duties of the Trustees shall include: To acquire landed property on behalf of the Association; To act for the Association in all legal transactions; To apply to the government for the certificate of Incorporation under the Company and Allied Matters Acts 1990; To do any other thing to serve the interest of the Association 55. A Trustee may hold office for life and shall cease to hold office if he: Resigns his/her office or becomes insane; Is declared bankrupt under any existing Bankruptcy laws of Nigeria; Is recommended for removal from office by a simple majority of members of the Association present at a Conference called specifically to discuss his removal and; Ceases to reside permanently in Nigeria. Ceases to share the ideals and aspirations of the Association. 56. Upon a vacancy occurring in the number of Trustee, the Conference shall elect a new Trustee to fill the vacancy. 57. The Trustee shall have a Common-Seal, which shall be kept in the custody of the Secretary-General who shall serve as a Secretary to the Board. 58. All documents to be executed by the Trustees of the Association shall be signed and sealed with the Common Seal. ARTICLE 15 – MEETINGS AND QUORUMS59. The Trustees shall meet at least once in a year and a Quorum shall be formed with at least three members in attendance.60. The Conference shall hold at least once a year to review the activities of the Association and elect members of the Board of Trustees or replace same as and when necessary and do such other things as provided by this Constitution. Quorum for such meetings are as specified in this Constitution. 61. The Council shall meet (6) times in a year and the quorum shall be 1/3 of its members. 62. The Committee shall meet at least 2 times in a year, the Quorum shall be 1/3 of its members. ARTICLE – 16 MISCELLANIOUS PROVISIONS63. INTERPRETATION: All references to person in the masculine gender shall include the feminine gender.64. MEANING: Where there is an ambiguity in the meaning of any word or section of this Constitution, the relevant body, Council, Committee, Commission or Board concerned shall meet and discuss to give proper meaning. In case of inability to reach a decision, the Conference shall give the proper meaning of the word or section at its next meeting. PROVIDED that this shall not affect operations of the body before the Conference convenes. 65. AMMENDMENT: Any part of this Constitution may be amended by a 2/3 of members of the Conference constituting all Chapters of UNIFEMGA on the recommendation of the Council PROVIDED that the Conference must have been called for that purpose with a 3 months notice of such amendment circulated to all Chapters. 66. WINDING UP: The association my be dissolved and wound up by a motion in that respect being presented at the Conference and supported by not less than 2/3 majority votes of all the Chapters constituting UNIFEMGA at any point in time. In the event of a winding up of the Association, the remains of the credit, assets and liabilities of the Association shall after the satisfaction of all the debts and liabilities be given to the Obafemi Awolowo University Muslim Community. 67. (a) Where it is impossible to elect a new Council, the Shura Committee shall act for a period of not more than 90 days during which period nothing shall be done to commit UNIFEMGA on any major issue. (b) The Council shall be responsible for General administration and policy direction of UNIFEMGA. 68. THE INCOME AND PROPERTY of the UNIIFE MUSLIM GRADUATES’ ASSOCIATION (UNIFEMGA) wheresoever derived shall be applied solely towards the promotion of the objects of the Association as set forth in this RULES AND REGULATIONS/CONSTITUTION and no portion thereof shall be paid or transferred directly or indirectly, by way of dividend, bonus or otherwise howsoever by way of profit to the members of the UNIIFE MUSLIM GRADUATES’ ASSOCIATION (UNIFEMGA). 69. PROVIDED that nothing herein shall prevent the payment, in good faith, or reasonable and proper remuneration to any officer or servant of the Association in return for any service actually rendered to the Association but so that no member of the Council of Management or Governing Body shall be appointed to any salaried office of the Association or any office of the Association paid by fees and that no remuneration or other benefit in money or monies shall be given by UNIIFE MUSLIM GRADUATES’ ASSOCIATION (UNIFEMGA) to any member of such Council or Governing Body except repayment of out of pocket expenses or reasonable and proper rent for premises demised, or let to the Association provided that the provision last aforesaid shall not apply to any payment of any company to a member of the Association may be a company in which such members shall not hold more than one hundred part of the capital and such members shall not be bound to account for any share or profits he may receive in respect of any such payment. 70. NO ADDITION, alteration, or amendment shall be made to or in the RULES AND REGULATION/CONSTITUTION for the time being in force unless the same have been previously submitted to and approved by the Minister. 71. In the event of a winding up or dissolution of the Association, if there remains after the satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the Association but shall be given or transferred to, Obafemi Awolowo University, Muslim Community. The society is prohibited from distributing its or their income and property amongst its or their members to an extent at least as great as is imposed on the Association under or by virtue of the SPECIAL CLAUSE hereof such institution or institutions to be determined by the members of UNIIFE MUSLIM GRADUATES’ ASSOCIATION at or before the time of dissolution and if in so far as effect cannot be given the aforesaid provision then to some charitable object. |
